Terms of Service

Effective date: [EFFECTIVE DATE]

These Terms of Service ("Terms") are an agreement between you and [COMPANY LEGAL NAME] ("[COMPANY]", "we", "us") about your use of Fughetta, including the website at [DOMAIN], the console, the MCP endpoint, the admin API, and the build and storage services behind them (together, the "Service").

If you use the Service for an organization, you accept these Terms on its behalf and confirm you are authorized to do so; "you" then means that organization. If you don't agree to these Terms, don't use the Service.

1. The Service

Fughetta hosts source code you provide, builds, tests and runs it on our workers when you or an agent acting for you asks, and returns the results. It is a tool for software development. We may change, add or remove features; if a change materially reduces the Service's features, we will tell you in advance.

The Service makes no AI model calls of its own. Agents you connect to it are your responsibility and are governed by their own providers' terms.

2. Accounts

You need an account to use the hosted Service. Give accurate information and keep your credentials, including API tokens, secure: anything done with your credentials is treated as done by you. Tell us promptly at [CONTACT EMAIL] if you believe your account or a token has been compromised.

You must be at least [MINIMUM AGE] years old, and old enough to form a binding contract where you live.

3. Workspaces, members and owners

A workspace belongs to its owners. Owners can invite and remove members, change settings, and delete the workspace. Members can work with its projects. An agent using a member's API token acts with that member's rights.

4. Your content

"Your Content" means the code, files, configuration and other material you or your agents put into the Service, and the output of builds, tests and runs of it.

You keep all rights in Your Content. You grant us a worldwide, non-exclusive, royalty-free license to host, copy, transmit, process and display Your Content only as needed to provide, secure and support the Service for you. This license ends when Your Content is deleted from the Service, except for copies in backups, which are deleted in the ordinary course.

You are responsible for Your Content and confirm you have the rights needed to use it with the Service. We don't claim ownership of it and don't use it to train AI models.

5. Acceptable use

You must not use the Service to:

  • break the law, or infringe or misappropriate anyone's rights;
  • store or distribute malware, or build or run code meant to harm systems you don't own or have permission to test;
  • attack, probe or disrupt the Service, other customers, or third parties, including denial-of-service attacks and scanning;
  • mine cryptocurrency, or run workloads unrelated to developing software, such as general-purpose computing or proxying;
  • try to get around quotas, limits, isolation, or access controls, or access workspaces you aren't a member of;
  • resell or provide the Service to third parties as your own hosted service without our written agreement.

We may suspend builds, tokens or accounts that break these rules or put the Service or others at risk. Where practical, we'll tell you why and give you a chance to fix it first.

6. Fees

Pricing has not been published. You may add a payment method before the rates are published; adding one does not charge you. When the rates are published on the pricing page, we will give at least [PRICE CHANGE NOTICE PERIOD] notice before charging. Until then, no charge is issued.

7. Quotas and fair use

Each workspace has limits on storage, projects, build minutes, concurrency and request sizes, shown in the console. When a limit is reached, the Service refuses the requests that would exceed it.

8. Availability and support

We work to keep the Service available but don't guarantee it will be uninterrupted or error-free, except as stated in a separate written service level agreement. Builds may fail or be interrupted; the Service reports outcomes it cannot confirm as unknown and does not rerun them automatically. Keep your own copies of anything important, including Your Content.

9. Ending your use

You can stop using the Service and delete your workspaces at any time. We may suspend or end your access if you materially breach these Terms and don't cure the breach within [CURE PERIOD] after notice, immediately if required by law or to prevent harm, or with [TERMINATION NOTICE PERIOD] notice if we discontinue the Service. After termination, you can request an export of Your Content for [EXPORT WINDOW]; after that we delete it as described in our Privacy Policy.

10. Disclaimers

Except as expressly stated in these Terms, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement, to the extent permitted by law.

11. Limitation of liability

To the extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from these Terms or the Service. Each party's total liability is limited to the greater of the amounts you paid us in the [LIABILITY PERIOD] before the claim and [LIABILITY FLOOR AMOUNT]. These limits don't apply to [CARVE-OUTS, e.g. fraud, or liability that cannot be limited by law].

12. Indemnity

You will defend and indemnify [COMPANY] against third-party claims arising from Your Content or your breach of Section 5, and pay resulting damages and reasonable costs finally awarded or agreed in settlement.

13. Changes to these Terms

We may update these Terms. For material changes, we'll give at least [TERMS CHANGE NOTICE PERIOD] notice by email or in the console before they take effect. Continuing to use the Service after that means you accept the new Terms.

14. General

These Terms are governed by the laws of [GOVERNING LAW JURISDICTION], excluding its conflict-of-law rules. Disputes will be resolved in the courts of [VENUE], unless [DISPUTE RESOLUTION ALTERNATIVE]. If any provision is unenforceable, the rest remains in effect. Not enforcing a provision isn't a waiver. You may not assign these Terms without our consent; we may assign them in a merger, acquisition or sale of assets. These Terms, together with any order form and our Privacy Policy, are the entire agreement about the Service.
